# Terms of Service

 Effective Date: December 20, 2025 | Last Updated: November 2, 2026

 Sorai Tokyo Co., Ltd. (hereinafter referred to as "the Company") establishes these Terms of Service (hereinafter referred to as "these Terms") governing the terms and conditions for using the official website, SorAi mobile applications (iOS / Web), initial cost simulator, SorAi property inspection reports, SorAi request hearing portal, AI and specialist chat consultations, and real estate rental brokerage services provided by the Company (collectively referred to as "the Services"). Users shall agree to these Terms before using the Services.

## Article 1 (Application and Consent)

- These Terms shall apply to all relationships between users and the Company regarding the use of the Services.
- By browsing our website, installing or launching the mobile application, registering an account, utilizing chat consultations, or otherwise accessing any part of the Services, users are deemed to have validly agreed to these Terms.

## Article 2 (Account Registration, Third-Party Authentication, and Account Deletion)

- Users may register an account by linking external authentication providers (Sign in with Apple, Google Account, LINE Account, etc.) or through methods designated by the Company.
- Users are responsible for maintaining the confidentiality and security of their login credentials and account access, and shall not transfer or lend their account to any third party.
- Users utilizing the SorAi mobile application may withdraw and terminate their account immediately at any time via "My Page \> Settings \> Delete Account" within the app, triggering account invalidation and local device data deletion. Users desiring deletion of Web services or external integration data may also contact customer support for prompt processing.

## Article 3 (Positioning of Initial Cost Simulator, Property Inspection, and AI Consultations)

- The initial cost second-opinion simulator, SorAi property inspection reports, and AI consultation features provide objective reference information generated through official statistical data (such as the Ministry of Land, Infrastructure, Transport and Tourism Real Estate Information Library) and algorithmic analysis.
- These estimates and diagnostic results do not guarantee actual property availability, tenant screening approval, final billed amounts, or the execution of lease agreements.
- The final terms and conditions of any real estate transaction are subject to direct confirmation by property management companies and owners, and are formally governed by the Explanation of Important Matters (pursuant to Article 35 of the Real Estate Brokerage Act) and the formal lease agreement.

## Article 4 (Compliance for Uploaded Images, Floor Plans, and Submitted URLs)

- When uploading images (such as property flyers, floor plans, and quotation documents) or submitting URLs to the Services, users must ensure they have lawful rights to view, hold, and submit such materials.
- Users acknowledge and agree that text and images submitted for AI analysis will be securely transmitted via encrypted channels to external cloud AI infrastructure contracted and managed by the Company. Such data will never be utilized for training external public generative AI models.

## Article 5 (Operator Chat Consultations and Inquiries)

- Users may receive consultations from qualified real estate transaction specialists and support staff via the in-app chat, official LINE account, and web contact forms.
- Staff responses are provided sequentially during business hours (10:00–18:00, closed Wednesdays and Sundays). Response times may vary depending on inquiry complexity and support volume.

## Article 6 (Prohibited Conduct)

Users shall not engage in any of the following acts when using the Services:

- Acts that violate laws, regulations, public order, or good morals
- Acts related to criminal activities, fraudulent representations, or unlawful purposes
- Registering, submitting, or applying with false, deceptive, or inaccurate information
- Infringing upon intellectual property rights, portrait rights, privacy, reputation, or other legal interests of the Company, other users, or third parties
- Placing excessive load on the servers, networks, or infrastructure of the Services
- Automated data scraping, crawling, reverse engineering, decompiling, or disassembling of the software, algorithms, or content
- Unauthorized access, cracking, or transmission of computer viruses or destructive code
- Interfering with the operation, security, or enjoyment of the Services by other users
- Reproducing, copying, or commercially distributing information obtained through the Services without prior written permission
- Any other acts reasonably deemed inappropriate or disruptive by the Company

## Article 7 (Intellectual Property Rights)

 All copyrights, trademarks, design rights, algorithms, source codes, and intellectual property rights comprising the Services belong to the Company or legitimate licensors. Using the Services under these Terms does not constitute any transfer or grant of intellectual property ownership.

## Article 8 (Modification, Suspension, and Termination of the Services)

- The Company may suspend or interrupt the Services without prior notice in the event of system maintenance, server emergencies, communication failure, natural disasters, or other force majeure events.
- The Company may modify service contents or discontinue the Services upon giving prior notice to users (or prompt post-hoc notice in emergencies).

## Article 9 (Disclaimers and Limitation of Liability)

- The Company makes no express or implied warranties that the Services are free from factual or legal defects (including safety, reliability, accuracy, completeness, fitness for a particular purpose, or freedom from bugs and errors).
- Except in cases of intentional misconduct or gross negligence, the Company's liability for damages incurred by users shall be limited to direct and ordinary damages actually sustained, and shall exclude special, indirect, or lost profit damages.
- Brokerage liabilities arising from executed real estate rental agreements shall be governed by the Real Estate Brokerage Act, relevant consumer protection regulations, and the respective contracts.

## Article 10 (Exclusion of Anti-Social Forces)

- Users and the Company represent and warrant that they do not and will not belong to or associate with organized crime groups, gang members, corporate racketeers, or other anti-social forces, and will not engage in violent or threatening behavior.
- If the Company reasonably determines that a user is an anti-social force, the Company may immediately terminate service access and delete the user account without prior notice.

## Article 11 (Handling of Personal Information)

 The Company handles users' personal data appropriately and securely in accordance with our [Privacy Policy](https://soraitokyo.jp/privacy-policy?hsLang=en).

## Article 12 (Amendments to Terms of Service)

 The Company reserves the right to amend these Terms from time to time in response to legal revisions, social circumstances, or service expansions. Amended Terms shall take effect upon publication on our website or mobile application.

## Article 13 (Governing Law and Jurisdiction)

 These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes arising between the user and the Company in connection with the Services shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
